Acquisition and Sale of Properties. NLG
lawyers provide advice on the structuring and implementation of the
transfer of residential and commercial real estate, vacant land, and
office and industrial buildings. Our experience in these areas includes
drafting and negotiating contracts, sale-leasebacks, like-kind
exchanges, resolving contract issues, performing certain due diligence
activities, and structuring transactions to minimize transfer and
income taxes.
Brokerage, Commercial Leasing, and Property
Management.
We handle commercial leasing transactions for developers and tenants of
office buildings, shopping centers, and other commercial properties. We
have extensive experience representing parties involved in leasing
commercial real estate, including representation of landlords and
tenants in negotiating retail, office, industrial and ground leases;
enforcing lease covenants; and prosecuting and defending eviction
claims. We also assist property owners in drafting form leases for use
in high-volume tenancy situations. We represent commercial and
residential real estate brokerage entities and companies operated
“in-house” by real estate development organizations. We provide advice
in negotiation and preparation of commission agreements and resolution
of disputes between brokers and their principals, and assist in
structuring transactions to suit the particular needs of the properties
and parties involved. We also represent real estate brokerage firms
concerning general corporate and professional business operations.
Condominium Law. Our
condominium law practice involves the representation of small and large
real estate developers, unit purchasers and owners, and
associations of new construction and converted condominiums. We also
have experience representing lenders who have forclosed on comdominium
properties in various stages of development. Noble Law Group attorneys

Real Estate Lending. NLG
serves as lender’s counsel for a number of originators of commercial
mortgage loans. These mortgage loans are secured by a variety of
property types, including apartments, office, retail, storage,
industrial, hotel, motel, assisted living facilities, and congregate
care and nursing home facilities. Noble Law Group lawyers have
extensive
experience in advising banks on borrower’s structuring of special
purpose, bankruptcy-remote entities.
Development of Real Estate Projects. Representing
developers and professionals in the commercial development process is a
mainstay of the firm’s practice. During the initial phase of a purchase
transaction, our real estate lawyers conduct certain due
diligence, negotiate letters of intent and acquisition
contracts,
and assist our clients in conducting due diligence, and review the
appropriate loan and closing documents. We then review title, survey,
environmental reports and any other agreements affecting the property,
and negotiate with opposing counsel to resolve issues
resulting
from our review. Our attorneys also review the appropriate loan
documents, negotiate revisions with the lender or its counsel. Lastly,
we review the necessary closing documents and attend the closing. After
closing, our attorneys negotiate agreements with contractors and other
professionals relating to the contemplated project development and, if
necessary, adjacent property owners. Our attorneys will handle disputes
arising from the development process and draft reciprocal easement
agreements for multi-owner mixed-use buildings and business parks.
Among our clients are developers of shopping and outlet centers,
business parks, residential communities (multi-family and
single-family), office buildings, and mixed-use and high-rise
buildings. Our lawyers have been involved with housing and community
development/redevelopment programs and our clients in these areas
include for-profit and not-for-profit developers, banks and other
